We at Stream Afrique are an online platform enabled by personalized subscription which allows our members to access movies and TV shows (“Stream Afrique content”) streamed over the Internet to compatible Internet-connected TVs, computers and other devices ("Stream Afrique ready devices").

These terms and conditions (“Terms”) govern your access to and use of the https://streamafrique.com website (“Site”). As used in these Terms of Use, "Stream Afrique service", "our service" or "the service" means the personalized service provided by Stream Afrique for discovering and watching Stream Afrique content, including all features and functionalities, recommendations and reviews, the website, and user interfaces, as well as all content and software associated with our service. By accessing or using the Site, you agree to be bound by these Terms. In addition, regional, national or local laws may apply to the access and use of this Site and you are responsible to comply with them. If you do not agree to be bound by these Terms, please promptly exit the Site. In addition, specific terms of use may apply to specific materials, data or information available through the Site, in which case your access to such materials shall be governed by these Terms, subject to such specific terms of use. Stream Afrique reserves the right to modify these Terms in its discretion at any time, such modifications being effective when posted. If you have any questions or concerns about these Terms, which include our Privacy and Data Protection Policy and Use of the Site, please contact us. 1. General aspects These Terms address the conditions applicable to specific materials, data or information available through the Site of Stream Afrique Uganda Limited- https://streamafrique.com. In case, access and use to those materials, data or information is governed by specific terms, these Terms shall apply, subject to such specific terms of use. By accessing and using this Site, you are agreeing to be bound by these Terms, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you are entering on behalf of an organization and not on your own capacity, make certain that you are legally entitled to represent your organization and to bind your organization by these Terms. In case of doubt, kindly consult with the legal advisor of your organization before agreeing to these Terms. If you do not agree with these Terms, refrain from accessing and using this site. The materials contained in this Site are protected by applicable copyright, trademark law and patent laws. 2. Copyright Copyright © 2020 STREAM AFRIQUE Except for third party content, Stream Afrique holds the title to the online resource and the materials and content uploaded and posted on the Site. 3. Use License Software The software behind this Site is WordPress a free software (free as in speech) licensed under the GNU General Public License V 2.0 (GPL-2) o later, like V 3.0 (GPL-3). For the full terms of the license: for V 2.0 see here, and for V3.0 see here. According to the GPL-3 you may: 1. use it for personal, educational, institutional or commercial purposes; 2. copy, use, redistribute, modify, and/or sell as long as you use the GNU General Public License as published by the Free Software Foundation; and 3. install it in as many computers as you wish. In addition, according to this license, you must: 1. maintain the copyright or other proprietary notations coming with the materials; 2. include a verbatim copy of the GPL for the original software and for modified versions of it; 3. state the changes as such if you make them; and 4. disclose the source code and a modified version of the code if you distribute a modified version of it. Content In general, all informational products and services on this site are regulated by international and local laws on intellectual property. The content or materials accessed through the Site, include but are not limited to raw data, annotated or otherwise analyzed data, information, reports, videos, images, presentations, written documents such as reports, articles (including peer-reviewed articles), course materials, and services (referred all as “Materials”) that are generated, created or developed either (i) by Stream Afrique and its affiliates (“Stream Afrique Materials”); (ii) by people who may include staff of or personnel associated with Stream Afrique’s models, Stream Afrique Platforms and other partners (“Contributed Materials”); or (iii) belonging to or originated by third parties, made available through the Platform site through links or by citation or aggregation (“Third Party Materials”). (i) Stream Afrique Materials Copyright The copyright in the shows and movies on our service is owned by many great producers, including Stream Afrique Studios, LLC. If you believe your or someone else’s copyrights are being infringed upon through the Stream Afrique service, let us know by completing the Copyright Infringement Claims form (www.Stream Afrique.com/copyrights).

Trademarks Stream Afrique and the Logo are trademarks of Stream Afrique, Inc. A product branded with the Stream Afrique name or logo is a reflection of Stream Afrique. Unless you are one of our licensees, we don’t allow others to make, sell, or give away anything with our name or logo on it. If you haven’t received our permission, do not use the Stream Afrique marks as your own or in any manner that implies sponsorship or endorsement by Stream Afrique. You could also be liable for infringement. Patents Stream Afrique streaming, website, app and other channels as well as it’s services are covered by patents where applied. Third Party Notices The software installed on Stream Afrique ready devices to enable streaming of the Stream Afrique service may contain software available under open source or free software licenses (“Open Source Software”) and/or commercial software licensed to Stream Afrique by parties (“Commercial Software”). The Stream Afrique Terms of Use do not alter any rights or obligations you may have under those Open Source Software licenses. Additional information about Open Source and Commercial Software, including required acknowledgements, license terms and notices, can be found here. (ii) Contributed Materials As a contributor of Contributed Materials, you must have the right to make such a contribution. As the owner of Contributed Materials, you or the organization you represent, as applicable, shall retain copyright. If Contributed Materials are owned by a third party, you must make sure that you have the rights to confer upon Stream Afrique the license hereby specified. As a contributor you agree to grant Stream Afrique, its successors and assigns a free of access charges, royalty free, perpetual, worldwide, non-exclusive, and sublicensable license to use, copy, modify, perform, publish and disseminate such Contributed Materials in the Site and through derivative works. Contributors must warrant to the best of their knowledge that the Contributed Materials do not infringe the rights of any third party, including copyrights, privacy protection, informed consent and/or biodiversity-related access and benefit-sharing rights. In case of doubt, a contributor shall abstain from providing Contributed Materials to the Site or if already contributed, withdraw such Contributed Materials. The contributor shall defend, indemnify, and hold Stream Afrique harmless from any resulting claims, damages or costs (including reasonable attorney fees) in case of false or misleading information or negligence. If you delete a Contributed Material, Stream Afrique does not warrant that it will be able to or will take responsibility for removing deleted contributions from the Site, including but not limited to those outside of its reasonable control or those to whom you or others may have forwarded your Contributed Material. Stream Afrique might, but it is no obligation to, review your Contributed Material. Stream Afrique may, at its sole discretion, remove your Contributed Material if it establishes that it violates these Terms. Acceptance of Contributed Material does not constitute an endorsement or sponsorship of the Contributed Material by Stream Afrique. (iii) Third Party Materials Third Party Materials are governed by the terms applicable and contained in third party websites. Stream Afrique is not responsible for or has no control over such Third-Party Materials. Stream Afrique provides access to such Third-Party Materials for convenience only. Stream Afrique makes every effort but does not ensure revision of Third-Party Material and makes no warranties or representations about the material, information, products, or services offered by third parties. Display of Third-Party Materials does not constitute endorsement or sponsorship by Stream Afrique of any Third-Party Materials. Use of any such Third-Party Material is at the user’s own risk. (iv) Unsolicited Materials Stream Afrique does not accept unsolicited materials or ideas for Stream Afrique content and is not responsible for the similarity of any of its content or programming in any media to materials or ideas transmitted to Stream Afrique. 4. Accuracy of Materials Materials appearing on Stream Afrique’s Site could include technical, typographical, or photographic errors. Stream Afrique does not warrant that any of such Materials on its Sites are accurate, complete or current. Stream Afrique may make changes to any Materials contained on its site at any time without notice. Nevertheless, Stream Afrique does not make any commitment to update the Materials. Users of and contributors to the Stream Afrique Sites are completely responsible for the accuracy of the content uploaded by them. 5. Disclaimer 1. Stream Afrique’s software and materials on the Sites are provided on an AS IS’ basis. Stream Afrique makes no warranties, either expressed or implied, including, without limitation, as to the merchantability, fitness for a particular purpose, non-infringement of intellectual property rights or any other violation of rights. 2. Further, Stream Afrique does not warrant or make any representations concerning the accuracy, completeness, likely results, timeliness, or reliability of the use of the source code or object code of the software, of the data, information, content or any other materials on the website, or otherwise relating to such materials, or on any other sites or websites linked to this Site. 6. Limitations Except as prohibited by law, in no event shall Stream Afrique or its suppliers be liable for any damages (including, without limitation, special, indirect, punitive or consequential damages or damages for any loss of data or profit, or due to business interruption) arising out of the access, use or reliance, or of the inability to access, use or rely on Stream Afrique’s Site and the content or any other materials on the Site.

7. Prohibited use You agree not to use Stream Afrique’s Site, including the Materials, for any unlawful purpose or in any way that would violate the rights of others, including intellectual property rights. Further, you agree to not use Stream Afrique’s logos and its name without Stream Afrique’s prior written authorization. 8. Membership 8.1 Your Stream Afrique membership will continue until terminated. To use the Stream Afrique service you must have Internet access and a Stream Afrique ready device, and provide us with one or more Payment Methods. “Payment Method” means a current, valid, accepted method of payment, as may be updated from time to time, and which may include payment through your account with a third party. Unless you cancel your membership before your billing date, you authorize us to charge the membership fee for the next billing cycle to your Payment Method (see "Cancellation" below).

8.2 We may offer a number of membership plans, including special promotional plans or memberships offered by third parties in conjunction with the provision of their own products and services. We are not responsible for the products and services provided by such third parties. Some membership plans may have differing conditions and limitations, which will be disclosed at your sign-up or in other communications made available to you. You can find specific details regarding your Stream Afrique membership by visiting our website and clicking on the "Account" link available at the top of the pages of the Stream Afrique website under your profile name.

9. Free Trials 9.1 Your Stream Afrique membership may start with a free trial. The duration of the free trial period of your membership will be specified during sign-up and is intended to allow new members and certain former members to try the service.

9.2 Free trial eligibility is determined by Stream Afrique at its sole discretion and we may limit eligibility or duration to prevent free trial abuse. We reserve the right to revoke the free trial and put your account on hold in the event that we determine that you are not eligible. Members of households with an existing or recent Stream Afrique membership are not eligible. We may use information such as device ID, method of payment or an account email address used with an existing or recent Stream Afrique membership to determine eligibility. For combinations with other offers, restrictions may apply.

9.3 We will charge the membership fee for the next billing cycle to your Payment Method at the end of the free trial period unless you cancel your membership prior to the end of the free trial period. To view the membership price and end date of your free trial period, visit our website and click the "Billing details" link on the "Account" page.

10. Passwords and Account Access The member who created the Stream Afrique account and whose Payment Method is charged (the "Account Owner") has access and control over the Stream Afrique account and the Stream Afrique ready devices that are used to access our service and is responsible for any activity that occurs through the Stream Afrique account. To maintain control over the account and to prevent anyone from accessing the account (which would include information on viewing history for the account), the Account Owner should maintain control over the Stream Afrique ready devices that are used to access the service and not reveal the password or details of the Payment Method associated with the account to anyone. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We can terminate your account or place your account on hold in order to protect you, Stream Afrique or our partners from identity theft or other fraudulent activity.

11. Billing and Cancellation 11.1 Billing Cycle The membership fee for the Stream Afrique service and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged to your Payment Method on the specific billing date indicated on your "Account" page. The length of your billing cycle will depend on the type of subscription that you choose when you sign-up for the service. In some cases your payment date may change, for example if your Payment Method has not successfully settled or if your paid membership began on a day not contained in a given month. Visit our website and click on the "Billing details" link on the "Account" page to see your next payment date. We may authorize your Payment Method in anticipation of membership or service-related charges through various methods, including authorizing it for up to approximately one month of service as soon as you register. In some instances, your available balance or credit limit may be reduced to reflect the authorization during your free trial period.

11.2 Payment Methods To use the Stream Afrique service you must provide one or more Payment Methods. You authorize us to charge any Payment Method associated to your account in case your primary Payment Method is declined or no longer available to us for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. Check with your Payment Method service provider for details.

11.3 Updating your Payment Methods You can update your Payment Methods by going to the "Account" page. We may also update your Payment Methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable Payment Method(s).

11.4 Cancellation You can cancel your Stream Afrique membership at any time, and you will continue to have access to the Stream Afrique service through the end of your billing period. To the extent permitted by the applicable law, payments are non-refundable and we do not provide refunds or credits for any partial membership periods or unwatched Stream Afrique content. To cancel, go to the "Account" page and follow the instructions for cancellation. If you cancel your membership, your account will automatically close at the end of your current billing period. To see when your account will close, click "Billing details" on the "Account" page. If you signed up for Stream Afrique using your account with a third party as a Payment Method and wish to cancel your Stream Afrique membership, you may need to do so through such third party, for example by visiting your account with the applicable third party and turning off auto-renew, or unsubscribing from the Stream Afrique service through that third party. You may also find billing information about your Stream Afrique membership by visiting your account with the applicable third party.

11.5 Changes to the Price and Subscription Plans. We may change our subscription plans and the price of our service from time to time; however, any price changes or changes to your subscription plans will apply no earlier than 30 days following notice to you.

12 Stream Afrique Service 12.1 You must be 18 years of age, or the age of majority in your province, territory or country, to become a member of the Stream Afrique service. Minors may only use the service under the supervision of an adult.

12.2 The Stream Afrique service and any content viewed through the service are for your personal and non-commercial use only and may not be shared with individuals beyond your household. During your Stream Afrique membership we grant you a limited, non-exclusive, non-transferable right to access the Stream Afrique service and view Stream Afrique content. Except for the foregoing, no right, title or interest shall be transferred to you. You agree not to use the service for public performances.

12.3 You may view the Stream Afrique content primarily within the country in which you have established your account and only in geographic locations where we offer our service and have licensed such content. The content that may be available to watch will vary by geographic location and will change from time to time. The number of interfaces on which you may simultaneously watch depends on your chosen subscription plan and is specified on the "Account" page.

12.4 The Stream Afrique service, including the content library, is regularly updated. In addition, we continually test various aspects of our service, including our website, user interfaces, promotional features and availability of Stream Afrique content. You can turn off tests participation at any time by visiting the "Account" page and changing the "Test participation" settings.

12.5 Some Stream Afrique content is available for temporary download and offline viewing on certain supported devices (“Offline Titles”). Limitations apply, including restrictions on the number of Offline Titles per account, the maximum number of devices that can contain Offline Titles, the time period within which you will need to begin viewing Offline Titles and how long the Offline Titles will remain accessible. Some Offline Titles may not be playable in certain countries and if you go online in a country where you would not be able to stream that Offline Title, the Offline Title will not be playable while you are in that country.

12.6 You agree to use the Stream Afrique service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or content therein. You agree not to archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms of Use) content and information contained on or obtained from or through the Stream Afrique service. You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the Stream Afrique service; use any robot, spider, scraper or other automated means to access the Stream Afrique service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Stream Afrique service; insert any code or product or manipulate the content of the Stream Afrique service in any way; or use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Stream Afrique service, including any software viruses or any other computer code, files or programs. We may terminate or restrict your use of our service if you violate these Terms of Use or are engaged in illegal or fraudulent use of the service.

12.7 The quality of the display of the Stream Afrique content may vary from device to device, and may be affected by a variety of factors, such as your location, the bandwidth available through and/or speed of your Internet connection. HD, Ultra HD and HDR availability is subject to your Internet service and device capabilities. Not all content is available in all formats, such as HD, Ultra HD or HDR and not all subscription plans allow you to receive content in all formats. Default playback settings on cellular networks exclude HD, Ultra HD and HDR content. The minimum connection speed for SD quality is 0.5 Mbps; however, we recommend a faster connection for improved video quality. A download speed of at least 5.0 Mbps per stream is recommended to receive HD content (defined as a resolution of 720p or higher). A download speed of at least 25.0 Mbps per stream is recommended to receive Ultra HD (defined as a resolution of 1080p or higher) and HDR content. You are responsible for all Internet access charges. Please check with your Internet provider for information on possible Internet data usage charges. The time it takes to begin watching Stream Afrique content will vary based on a number of factors, including your location, available bandwidth at the time, the content you have selected and the configuration of your Stream Afrique ready device.

12.8 Stream Afrique software is developed by, or for, Stream Afrique and is designed to enable viewing of Stream Afrique content through Stream Afrique ready devices. This software may vary by device and medium, and functionalities and features may also differ between devices. You acknowledge that the use of the service may require third party software that is subject to third party licenses. You agree that you may automatically receive updated versions of the Stream Afrique and related third-party software.

13. Warranties and Limitations on Liability The Stream Afrique service is provided "as is" and without warranty or condition. In particular, our service may not be uninterrupted or error-free. You waive all special, indirect and consequential damages against us. These terms will not limit any non-waivable warranties or consumer protection rights that you may be entitled to under the laws of your country of residence.

14. Class Action Waiver. WHERE PERMITTED UNDER THE APPLICABLE LAW, YOU AND STREAM AFRIQUE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, where permitted under the applicable law, unless both you and Stream Afrique agree otherwise, the court may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.

15. Modifications to Terms of Use and Assignment. Stream Afrique may, from time to time, change these Terms of Use. We will notify you at least 30 days before such changes apply to you. We may assign or transfer our agreement with you including our associated rights and obligations at any time and you agree to cooperate with us in connection with such an assignment or transfer.

16. Electronic Communications We shall send you information relating to your account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only, for example via emails to your email address provided during registration.

17. Customer Support To find more information about our service and its features or if you need assistance with your account, please visit the Stream Afrique Help Center on our website. In certain instances, Customer Service may best be able to assist you by using a remote access support tool through which we have full access to your computer. If you do not want us to have this access, you should not consent to support through the remote access tool, and we will assist you through other means. In the event of any conflict between these Terms of Use and information provided by Customer Support or other portions of our website, these Terms of Use will control.

18. Severability If any provision of these Terms is found to be invalid, illegal or unenforceable under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein. The validity, legality and enforceability of the remaining provisions shall remain in full force and effect 19. No waiver Either party’s failure to insist on or enforce strict performance of any of the Terms shall not be construed as a waiver of any provision or right. Nothing herein shall be deemed a waiver of any of the privileges and immunities of Stream Afrique. 20. Entire Agreement These Terms constitute the entire agreement between Stream Afrique and you in relation to your use of this Website, and supersede all prior agreements and understandings. 21. Governing law These Terms are governed by and construed in accordance with recognized and general principles of international law, to the exclusion of any single national system of law. General principles of law shall be deemed to include the UNIDROIT Principles of International Commercial Contracts of 2010. You and Stream Afrique will use their best efforts to resolve any dispute, controversy or claim arising out of or relating to these Terms or the Site by negotiation. In the case an amicable settlement is not reached within sixty (300) days of such dispute, controversy or claim having been notified by one party to the other in writing, the dispute, controversy or claim will be settled by arbitration in accordance with the UNCITRAL Arbitration Rules in effect on the date of this contract. There will be one arbitrator appointed by the parties by mutual consent, or failing this, by the Secretary-General of the Permanent Court of Arbitration. The place of arbitration, proposed by Stream Afrique, will be a neutral venue where the parties can expect a fair result. The language to be used in the arbitration proceedings will be English.
